Our business law practice concentrates on forming, operating, and representing all forms of business and investment entities. This includes limited liability companies, privately held corporations, partnerships and other limited liability entities. In providing comprehensive services to our clients, we counsel our clients on the best tax-planning strategies to help minimize their tax liabilities and maximize the value of their businesses.

We believe the best way to assist our business clients is to fully understand their respective businesses. This lets us design optimal agreements and other business arrangements, including financing and business succession arrangements, for each case. After developing these plans with our clients, we can help execute them through drafting, negotiation, and ongoing consultation. Whenever appropriate, we serve as outside general counsel for businesses as well as counsel for particular business transactions.

Our experience

Our firm has in-depth experience negotiating and preparing limited liability company operating agreements, limited partnership agreements, shareholder agreements, buy-sell agreements, licensing agreements, nondisclosure agreements, premises and equipment lease agreements, and employment contracts.

We are also experienced in purchasing and selling businesses, including stock purchases, asset purchases, franchises, and commercial real estate.

Our firm is also currently expanding our Intellectual Property practice. We offer expertise in identifying, registering, and protecting our clients’ intellectual property rights, such as trademarks, service marks, trade secrets, and copyrights.
